This Agreement is between WhiteCoat Education Group, LLC.  and/or Faculty (“we,” “us” or “our”) and you, the person accessing this site.

  

DISCLAIMERS, LIMITATION OF WARRANTY AND LIABILITY

This site is intended as a professional educational tool.  The information presented in our programs are for educational purposes only. This material is not intended to represent the best, nor only method appropriate for the medical situations discussed, but rather is intended to present an approach or opinion that may be helpful to others who face similar situations. We anticipate that the site will be available for access 24 hours per day throughout the year and we agree to make every reasonable effort to resolve promptly any disruption of access or other error in connection with the site.  If the site is not available for your access you will be entitled to a prorated refund of the fees you have paid for this license for such period of disruption, however no refund will be made if the site is available and your inability to access it is due to connectivity problems related to your network and/or internet service provider(s).  We disclaim all warranties, express or implied, including the implied warranties of merchantability and fitness for your particular purpose.  Although we believe the site and its contents to be complete and accurate as described therein, we make no representations regarding completeness or accuracy.  We will not be liable for any damage or loss of any kind arising out of or resulting from your access or lack of access to or use of the site, including but not limited to your reliance on its contents, errors in the data it contains, and data loss or corruption, regardless of whether such liability is based in tort, contract or otherwise.  If the foregoing limitation is held to be unenforceable, our maximum liability to you shall not exceed the amount of the license fees you have paid to us under this Agreement.  The remedies available to you against us under this Agreement are exclusive. Healthcare professionals are responsible for contacting their state licensing boards to ensure topics discussed fall within their scope of practice. The certificate issued after successfully completing the course should not be considered a statement of competency to perform such procedures by the speakers, course coordinator or WhiteCoat Education Group, LLC.

 

SCOPE OF YOUR LICENSE

You agree that under no circumstances may you permit any other person or entity, including your fellow employees or employer, to use your passcodes for the purpose of accessing the site, nor may you use your passcodes to access the site for anyone else.  You are solely responsible for maintaining the confidentiality of your passcodes.  You may access the site from any computer that you are personally using, in any location.  If your fellow employees or others need access to our website, they will need to purchase an additional license.

 

LIMITATIONS ON YOUR LICENSE

This license is limited to (i) individuals accessing information for their sole use, and (ii) health professionals, health professional students, and health professional researchers accessing as part of an educational exercise.

 

This license does not authorize use of this site by any person working for the benefit of a drug information center, poison control center, hospital, publisher, manufacturer, distributor, library or other information clearinghouse (including internal company information- or help-desks that serve multiple pharmacies or offices of the same company) the purpose of which is to provide information to multiple professionals, members, customers, clients, beneficiaries, patrons, or other third parties.  Such users must contact WhiteCoat Education Group, LLC. to obtain written permission to use the site for this purpose.  You agree that you will NOT use the access provided under this agreement for the purposes described in this paragraph without our express written permission.

 

You agree:

  1. Access to the website shall be solely for retrieval of information for the personal or professional use of the individual accessing the site.
  2. Information retrieved from the website shall not be used primarily for delivery to another professional user. (For example, drug information centers and publishers cannot use a “Personal” license to retrieve information on behalf of their clients or members.)

 

LICENSE

In return for your compliance with all of the terms of this Agreement, and subject to all of the limitations noted above and below, we hereby grant to you a limited, non-exclusive, non-transferable license to access and display on your personal computer monitor(s) the content contained on this site solely for your personal use or use by you in connection with your practice or business. You may NOT download to, store or otherwise reproduce in hard copy or electronic form any substantial portion of the content of the site; nor may you sell, license, or otherwise permit others to use the content of the site.  You agree that if you, or persons acting through you, exceed the scope of this license, we may invoice you for additional fees commensurate with the additional use and you agree to pay such invoice(s) within 30 days and that such a remedy is not exclusive of the other remedies available to us.

 

YOUR SECURITY OBLIGATIONS

You agree to make reasonable efforts to ensure that no one other than you obtains access, electronically or otherwise, to this site with your passcode or through you. This is considered THEFT and may result in additional fees to you.

 

If you have reason to believe that someone has obtained unauthorized access to this site, you agree (i) to notify us within 30 days of all information in your possession regarding such potential unauthorized access, (ii) to take reasonable action to resolve the unauthorized access, and (iii) to cooperate with us in resolving the unauthorized access.  We will not hold you liable for unauthorized access if you comply with this paragraph, unless you or one of your authorized users has willfully breached the limitations on this license.

 

LENGTH OF YOUR LICENSE

Your license will continue for as long as WhiteCoat Education Group, LLC. remains incorporated as a business, provided that you comply with the terms and conditions of this Agreement.  We may terminate your license and restrict, suspend or terminate your access to the site for any reason or no reason effective upon written notice to you if we tender a prorated refund of any fee you have paid for the license.  If you have violated this Agreement (for example, by providing access to the site to unauthorized persons), we may terminate your license immediately without notice and we will not be obligated to provide a refund to you. If you need additional time, please let us know.

 

RETURNS / REFUNDS

Refunds and returns will be considered after you have progressed completely through the course.  Only at that time can you sufficiently evaluate whether or not the course has truly failed to enhance your knowledge and skill-set.  Requests for refunds should be sent to patton@onlinesuturecourse.com.  If you have purchased a deluxe course (any course with a practice suture kit), the value of that kit will be deducted from the total refund amount, including shipping costs.  Also, should you determine that the course has not added value to your knowledge or skill-set and you request and are granted a refund, the CE certificate you receive at the end of the course will be invalidated and your total CE credit for the course will be 0 hours.

 

RESOLUTION OF DISPUTES

You agree that any dispute arising from, relating to or in any manner connected with this Agreement shall be construed under and resolved in accordance with the laws of the Judicial District Court, County of Williamson, State of Tennessee or the Federal Court for the State of Tennessee, exclusive of its choice of law principles.  Any such dispute shall be litigated only in the state or federal courts of Tennessee, to the personal jurisdiction of which you hereby consent.

Should any part of this Agreement be rendered or declared invalid by a court of competent jurisdiction of the State of Tennessee, such invalidation of such part or portion of this Agreement should not invalidate the remaining portions thereof, and they shall remain in full force and effect.

 

FORUMS

=======

The site may include features such as chat rooms, bulletin board services or other interactive communication facilities (collectively, the “Forums”).  We cannot and do not undertake to review all communications made on or through the Forums.  We reserve the right, but have no obligation, to monitor the Forums and to edit or delete any materials that we in our sole discretion determine violate this Agreement or are contrary to any of our policies or our business interests and customer relations.  By transmitting any communication to or through the Forums, you grant to us a perpetual, worldwide, irrevocable, unrestricted, non-exclusive, royalty-free license to reproduce, sublicense, distribute, display, transmit, and edit such communication, including your identity as its author or sender.  This license does not apply to your communications with us regarding your order, payment, or similar transactional matters.

 

PROHIBITED COMMUNICATIONS

You are solely responsible for the content of any communications you make to or through the site or any materials you add to the site, including to any Forum (the “Communications”).  You agree not to upload to or otherwise publish any Communication that: advertises or solicits the sale of goods or services; is obscene, indecent or otherwise sexually explicit or abusive; defames any person or entity or otherwise invades anyone’s rights or causes any form of injury to any other person or entity; or that contains software viruses or any other malicious code.  You agree not to use the Forums or any other area of the site to send the same or substantially similar unsolicited electronic mail messages, whether commercial or not, to multiple recipients.

 

MODIFICATIONS

We may modify this Agreement and any policies affecting the site effective immediately upon notice to you posted to the site or distributed via electronic mail or conventional mail.  Your continued use of the site following notice of any modification to this Agreement shall be conclusively deemed an acceptance of all such modification(s).  If you do not wish to be bound by any such modification and so notify us, we will refund any unearned fees you have paid.
